Junior Legal Analyst – Private Equity

Location: London

Team: Investment Team

WFH: Flexible: 3 days per week office based

Reports To: Legal Associate Director

Direct Reports: N/A

Jon Purpose:

The Analyst will be an integral member of the investment team for a global private equity firm.

The team is responsible for the closing of all investments across the platform including primary fund investments, secondary transactions, and co-investments across private equity, credit, and real estate.

The individual will work with the team on the execution of transactions including managing negotiations of legal documents with counterparties and coordinating with operations and finance teams to ensure that processes are followed and executed in a timely and accurate manner.

Key Responsibilities:

Supporting transaction completion with a focus on primary investments.

Completing NDAs for the team.

Assist with review of term sheets, equity commitment letters, SPAs, LPAs, JV Agreements, shareholder agreements, transfer agreements, side letters and other ancillary documentation.

Ensure compliance with investment closing processes such as AML/KYC.

Setting up SPVs and checklists.

Coordinating relevant approvals and signatures.

Maintaining legal checklists required for investment completion and investment restriction checks.

Closing notices and coordinating with the operations and finance teams on money transfers.

Assisting with fund sales execution.

Maintaining and ensuring the accuracy of CRM database.

Ensuring that all relevant approvals have been received, legal and AML checklists have been signed off and investment restriction checks have been completed.

Ensuring all closing notices are completed accurately and on time.

Knowledge and Experience Required:

Law degree or a similar qualification.

Strong commercial judgment.

At least 1-2 years of relevant work experince.

Knowledge of the fundamentals of a transaction structure.

Understanding and interest in private markets transactions, private M&A transactions and fund investments

A high degree of attention to detail and accuracy in work completed.

Ability to manage multiple workstreams and transactions at once.

Excellent written and verbal communication skills.

Ability to work to tight deadlines.
